Leadermind provides behavioral insights on executive leaders so professional investors can make better equity decisions with confidence. This Acceptable‑Use Policy (“AUP”) describes how clients and authorized users may access and use Leadermind’s products and services. It is designed to protect clients, covered executives, Leadermind, and the markets we collectively serve.

 

1. Scope and Roles

This AUP applies to all organizations that license Leadermind and to all individuals who access the platform under a client’s account (e.g., analysts, portfolio managers, risk managers, quants, traders, and support staff). Clients are responsible for ensuring that their users understand and comply with this policy and with all applicable laws, regulations, and internal policies.

 

2. Permitted Use

Leadermind is intended for professional, institutional investment and risk‑management purposes, including:

Equity and credit research, portfolio construction, and risk evaluation.

Alpha‑seeking strategies, including the incorporation of behavioral factors and structural drivers into models.

Situational and event‑driven investing, including M&A, insider transactions, and executive transitions.

Clients may view, query, and export Leadermind data and analytics for internal use and for inclusion in internal reports, models, and investment memos, subject to contractual usage and redistribution terms.

 

3. Prohibited Activities

Users may not use Leadermind in ways that are unlawful, abusive, or inconsistent with its design as a research and risk‑analytics tool. Prohibited activities include, without limitation:

Platform and Security Misuse

Attempting to bypass authentication, access accounts or data outside your organization, or probe, scan, or test system vulnerabilities.

Introducing malware, attempting denial‑of‑service attacks, or interfering with the normal operation or performance of the service.

Data Misuse and Redistribution

  • Reselling, sublicensing, or redistributing Leadermind data, scores, or content to third parties except as expressly allowed in your agreement.
  • Using automated scraping or bulk‑harvesting tools to extract content in excess of agreed‑upon export or API limits.
  • Removing or obscuring ownership or attribution notices from Leadermind output.

Improper Use of Behavioral Analytics

  • Using Leadermind to target, harass, defame, or unlawfully discriminate against individuals or groups.
  • Representing Leadermind’s analytics as clinical diagnoses, employment‑screening determinations, or any form of medical, psychological, or legal advice.
  • Using Leadermind in ways that violate privacy, market‑abuse, or anti‑manipulation laws, including attempting to create deceptive narratives or misleading communications about individuals.

Other Unacceptable Conduct

  • Sharing login credentials, allowing unlicensed individuals to access the service, or failing to implement reasonable safeguards around account access.
  • Using Leadermind content in promotional materials, public research, or media in a way that implies endorsement or partnership without prior written consent.

 

4. Regulatory and Ethical Expectations

Leadermind is one analytic input to a broader investment and risk framework. Clients remain responsible for:

  • Ensuring that their use of Leadermind complies with applicable securities, privacy, employment, and data‑protection laws and with internal compliance policies.
  • Applying appropriate diligence, challenge, and oversight before relying on Leadermind analytics in investment, voting, or governance decisions.
  • Avoiding over‑reliance on any single model or factor, including behavioral factors, when assessing securities, issuers, or transactions.

 

5. Monitoring, Enforcement, and Suspension

Leadermind may monitor system usage (e.g., login activity, API calls, export volume) for security, reliability, and compliance with this AUP. Where Leadermind reasonably believes this policy has been violated, it may:

  • Request clarification or remediation from the client.
  • Temporarily suspend or restrict access for specific users or accounts.
  • Terminate access in serious or repeated cases, in accordance with the governing agreement.

Where legally required, Leadermind may cooperate with regulators or law‑enforcement authorities investigating misuse of the service.

 

6. Changes and Contact

Leadermind may update this AUP from time to time to reflect changes in products, regulations, or industry standards. The most current version will be made available through the client portal or website and will supersede prior versions.
